By participating in the Sweepstakes, you agree to be bound by these Official Rules. Please read these Official Rules before entering the Sweepstakes. Failure to comply with these Official Rules may (in the sole discretion of the Sponsor) result in disqualification from the Sweepstakes. Sponsor reserves the right to cancel, modify, or suspend the Sweepstakes at any time in its sole discretion.

4. HOW TO ENTER: The Sweepstakes begins on April 1, 2024 at 12:01am PST and ends on July 15, 2024 at 11:59pm PST (the “Entry Period”). The official clock for purposes of the Sweepstakes is Sponsor’s computer clock.

Participation in the LA Post Sweepstakes is available via two methods of entry: (1) enroll in a paid subscription to Los Angeles Post using this linkhttps://www.lapost.com/sweepstakes/1 or (2) enter by mail via the alternative method of entry. Both entry methods give participants the opportunity to receive bonus entries through our Entry Multiplier Periods. Below are the steps and conditions for entry:

LA Post Subscribers:

Initial Entry - Access the entry form using this link https://www.lapost.com/sweepstakes/1 and provide your name, email, phone number on Step 1 and then your mailing address and LA Post subscription payment source information on Step 2. If you clicked “Submit” on Step 2 and your subscription was successfully processed between April 1 and April 19^,you received a total of 51 entries and you you will automatically receive 49 entries on April 19 for a total of 100 entries for the month of April, which is the maximum amount all entrants may receive in April. For entries received after 12:00am (PST) on April 19, then when you click “Submit” on Step 2 and your subscription is successfully processed, you will be awarded with 20 entries into the Sweepstakes for the month in which you subscribed to LA Post in addition to the multiplier bonus entries described below. Entries are not awarded if subscription payment method is declined.

Monthly Bonus Entries - As an LA Post subscriber, you automatically receive an additional 20 entries for each month you remain subscribed to LA Post during the duration of the Sweepstakes, following your initial sign-up. Additionally, if your subscription payment source is charged during a multiplier period, you will also automatically receive the multiplier bonus entries based on the date your payment source was charged. Multiplier bonus entries are further described below.

Re-Entry for New Sweepstakes - For each new Sweepstakes period, subscribers will be sent an email with details of the new Sweepstakes and subscribers can use the link in the email to enter the new Sweepstakes after this Sweepstakes period. Upon entry in each new Sweepstakes, subscribers will be given 20 initial entries upon entry to the new Sweepstakes and will also automatically receive 20 entries for each subsequent month in the new Sweepstakes. Additionally, if your subscription payment source is charged during a multiplier period and you have entered the Sweepstakes that is currently being run by Sponsor at the time your payment source is charged, you will also automatically receive the multiplier bonus entries based on the date your payment source was charged.

Non-Subscribers (AMOE):

To enter without a subscription, handwrite your full name, mailing address, email address, and telephone number on a 3"x5" card. Each valid mail-in entry postmarked between April 1 and April 19 will receive 20 entries and the 4x multiplier bonus entries for a total of 100 entries. Each valid mail-in entry received between 12:00am (PST) on April 19 and 11:59pn on July 15 will receive 20 entries for the month in which it is postmarked and will also automatically receive the applicable multiplier bonus entries if postmarked during a multiplier period as further described below. Please note that your mail-in request must received no later than five (5) calendar days after the month in which entries are being requested in the Sweepstakes. You may not send more than one mail-in request for entries per month of the Sweepstakes. You may not request entries for any prior months of the Sweepstakes or future months. Entry Multiplier Periods:

To enhance your chances of winning, take advantage of our Entry Multiplier Periods:

Quadruple Multiplier Period - Entries received or valid AMOE mail-ins postmarked from 12:00am (PST) on April 19^th through 11:59pm (PST) on April 30 will receive a 4x multiplier bonus, which means the entry will receive the standard 20 entries plus 80 entries for a total o 100 entries during this 4x multiplier period only.

Triple Multiplier Period - Entries received or valid AMOE mail-ins postmarked from 12:00am (PST) on May 1 to 11:59pm (PST) on May 31 will receive the standard 20 entries plus 60 entries for a total of 80 entries during this 3x multiplier period only.

Double Multiplier Period: Entries received or valid AMOE mail-ins from 12:00am (PST) on June 1 through 11:59pm (PST) on June 30 will receive the standard 20 entries plus 40 entries for a total of 60 entries during this 2x multiplier period only.

No Bonus Period - The final 15 days of the Sweepstakes, from 12:00am (PST) on July 1 through 11:59pm (PST) on July 15, does not offer bonus multipliers and entries received or valid AMOE mail-ins postmarked during this period will receive the standard 20 entries.

Special Instructions for AMOE- For AMOE participants, the amount of entries you're eligible for will be directly determined by the postmark date on your valid mail-in submission. Valid mail-ins postmarked during an Entry Multiplier Period and received by Sponsor no later than five (5) calendar days after the month in which you are requesting entries, will automatically receive the corresponding multiplied entries for that time frame. Additionally, if the final day of an Entry Multiplier Period fall on a Sunday or a public holiday, valid entries postmarked by the following Monday or the next business day will still qualify for the multiplier bonus.

Entry Maximums: The maximum number of Sweepstakes entries an entrant may receive during the Sweepstakes period, either through subscribing to LA Post or through utilizing the AMOE write-in option, depends on the date of entry as follows:

• 12:00am (PST) on April 1 through 11:59pm (PST) on April 30 – 100 entries
• 12:00am (PST) on May 1 to 11:59pm (PST) on May 31 – 80 entries

Entry Restrictions: Only entries completed in accordance with the Rules will be awarded entry. Any attempt to gain more than these stipulated entries, either by entering more than allowed, using multiple email addresses, accounts, identities, or devices, or by employing robotic, automatic, programmed, mechanical, or similar entry methods, will result in disqualification of all entries by that entrant, at Sponsor’s sole discretion. Any inaccurate, illegible, corrupted, or untimely entries are also void and ineligible. Proof of entry submission will not be deemed to be proof of receipt by Sponsor. Sponsor is not responsible for submission problems of any kind, whether caused by mechanical, human, or electronic error. Additionally, Sponsor is not responsible for any telephone, electronic, hardware, software, network, Internet, or computer malfunctions, failures, or difficulties. USA Publishing, LLC, the Sponsor of the Sweepstakes (the “Sponsor”), reserves the right to verify the eligibility of all entries and to disqualify any that it deems fraudulent or in violation of these rules.

5. DRAWING: A random drawing will be conducted on or about July 26, 2024 by Sponsor to select the winner from among all eligible entries received. Chances of winning depend on the number of entries received. The potential winner will be notified by email and must sign and return any required Affidavit of Eligibility and Release, an IRS (W-9 Form), and a proof of identification via a government issued ID, within ten (10) days of the date notice is sent or such other date set by Sponsor. Failure to respond within the applicable time period will result in forfeiture of prize and Sponsor shall have the option to award the prize to an alternate winner. The return of any prize notification or prize as undeliverable may result in disqualification and an alternate winner may be selected. It is each individual’s responsibility to maintain and check such individual’s email at the email address provided to Sponsor. Sponsor is not responsible for any delays in email or an individual’s failure to check his or her email or ensure his or her email can receive emails.

All taxes resulting from acceptance of prize are the responsibility of the winner. The winner must fill out and submit an IRS W-9 form to Sponsor for tax purposes. By entering this Sweepstakes, the entrant accepts and agrees to these Official Rules and the decisions of the Sponsor, which shall be final and binding in all matters.

6. PRIZE: A 5-NIGHT STAY AT THE BRANDO RESORT AND $10,000.00 CASH. The total retail prize value is $26,075. The prize consists of a cash amount of $16,075 intended specifically to be applied by the winner towards a 5-night stay at the Brando Resort with an address of Tetiaroa, Arue 98702, French Polynesia, and an additional $10,000 cash. The Brando Resort 5-night stay amount is calculated based on the average nightly base rate of a Beachside One-Bedroom Luxury Villa during the regular booking season (January 11 to June 30 and November 1 to December 20), which amounts to $3,215 per night. The Approximate Retail Value (ARV) provided for the prize is based upon data available to the Sponsor and may not reflect the actual market value at the time the prize is awarded. In the event of any discrepancy between the stated ARV and the actual market value, the difference will not be compensated. The value of the prize awarded to the prize recipient may be reported for tax purposes as required by law.

The winner will be awarded a single check for $26,075, which will be delivered via certified mail or express mail service (such as FedEx). Of this total, $16,075 is intended to be applied by the winner towards a 5-night stay at the Brando Resort. The remaining $10,000 is provided as a cash prize for the winner to use at their discretion, which may include defraying travel-related expenses such as flights and transportation, or any additional costs associated with their stay at the Brando Resort. The total prize value of $26,075 includes the cost equivalent of the base rate of the hotel room for five nights ($16,075) and the additional cash prize ($10,000). Expenses beyond these amounts or not covered by these amounts will be the responsibility of the winner. This includes, but is not limited to, resort fees, room service, minibar charges, gratuities, incidental expenses, and any specific charges related to hotel services or amenities. Flights, transportation, and other travel-related costs are not directly included in the Prize, but the $10,000 cash prize may be used to offset these costs at the winner's discretion

Winners are advised to review the hotel's specific terms and conditions, particularly those concerning occupancy per room, deposits and incidentals, to understand the potential additional costs that may be incurred during their stay. Taxes associated with the Prize are the sole responsibility of the winner . While the $10,000 cash prize may assist in covering these costs, the winner is responsible for managing their expenses and ensuring that all costs, including those beyond the value of the cash prize, are adequately covered. All travel and lodging will be at the risk of the winner. Winner may bring one (1) guest on the trip; the guest and winner will be required to sign a waiver before the trip. All travel and lodging will be at the risk of the winner and guest. Sponsor does not make travel arrangements; the winner is responsible for his or her travel arrangements.

**USE OF PRIZE: While Sponsor intends the winner to enjoy Brando Resort, should a winner prefer to use the Prize for other legal purposes, the winner may opt to accept the Prize and not make the travel arrangements.

The prize will be awarded to a single winner. If a potential winner is disqualified for any reason, the Sponsor will award the prize to an alternate winner by random drawing from among all remaining eligible entries. Only three (3) alternate drawings will be held, after which the prize will remain un-awarded.

Sponsor shall have the right, but not the obligation, to make any deductions and withholdings that Sponsor deems necessary or desirable under applicable federal, state, and local tax laws, rules, regulations, codes or ordinances.

Sponsor will furnish an Internal Revenue Service Form 1099 to the winner. The winner is required to provide valid and current email, home address, and account payment information so that Sponsor can remit the prize. Before awarding the prize, Sponsor will require the winner to furnish proof of identification and other proof of eligibility under these Official Rules and to execute and return any required documentation, and to provide other information as required to award the prize. The right to receive the prize is non-assignable, non-transferable, and no prize exchange or other equivalent will be allowed, except by Sponsor in its sole discretion. STATE AND LOCAL TAXES, IF ANY, ARE YOUR SOLE RESPONSIBILTIY.

7. PUBLICITY RIGHTS: By accepting the prize, winner agrees to allow Sponsor and each of their designees, the perpetual right to use the winner’s name, biographical information, photos and/or likeness for trade, commercial, advertising and publicity purposes, at any time, in all media now known or hereafter discovered including live television, world-wide, including but not limited to on the World Wide Web and Internet (including social media) without notice, review or approval and without additional compensation except where prohibited by law; if requested by Sponsor you shall provide any requested consents.

8. SPONSOR'S RIGHTS: Sponsor reserves the right, in its sole discretion, to cancel, suspend, or modify the Sweepstakes if any fraud or technical failures occur, or if any factor beyond Sponsor’s control impairs the integrity or proper functioning of the Sweepstakes. In such event, Sponsor may, in its discretion, award the prize from among the eligible entries received prior to such action or as otherwise deemed fair and appropriate by Sponsor. Sponsor's decision in such matters shall be final and binding.

9. DISQUALIFICATION: ALL PARTICIPANTS ARE REQUIRED AT ALL TIMES TO CONDUCT THEMSELVES IN ACCORDANCE WITH THESE OFFICIAL RULES. Sponsor reserves the right, in its sole discretion, to disqualify any entrant found to be in violation of these Official Rules or engaging in any fraudulent, deceptive, or harmful conduct. Such conduct includes, but is not limited to, attempting to tamper with or disrupt the Sweepstakes, submitting false or misleading information, or any other actions that violate the integrity and fairness of the Sweepstakes. In the event of disqualification, the entrant will be ineligible to receive any prize and Sponsor may select an alternate winner in accordance with the provisions set forth in these Official Rules.

10. COMPLIANCE WITH LAWS: By entering this Sweepstakes, entrants agree to comply with all applicable federal, state, and local laws and regulations.

11. BINDING NATURE, WAIVER, INDEMNIFICATION: By entering the Sweepstakes, you, and on behalf of your heirs, executors, and administers, agree: (a) to be bound by these Official Rules and by all applicable laws, regulations, and decisions of Sponsor which shall be binding and final; (b) to waive any rights to claim ambiguity with respect to these Official Rules; (c) to waive all of your rights to bring any claim, action, or proceeding against any of the Promotion Parties in connection with the Sweepstakes, any entries, or the prize; and (d) to forever and irrevocably agree to release, defend, indemnify, and hold harmless the Promotion Parties from any and all claims, lawsuits, judgments, causes of action, proceedings, demands, fines, penalties, liability costs and expenses (including, without limitation, reasonable outside attorneys' fees) that may arise in connection with: (i) the Sweepstakes, any prize, the entries, or any other activities engaged in in connection with the Sweepstakes, the entries, or any prize, including but not limited to your participation or inability to participate in the Sweepstakes, obtain or use any prize, or any other activity, (ii) typographical or printing errors in these Official Rules or in any Sweepstakes related materials, including but not limited to any instructions, advertising or promotional materials (iii) any change in the Sweepstakes (or any components thereof), including but not limited to, due to unavailability, or due to reasons beyond Sponsor's control, (iv) any interruptions in or postponement, cancellation, or modification of the Sweepstakes, (v) human error, (vi) incorrect or inaccurate transcription, receipt or transmission of any entries, (vii) any technical malfunctions or unavailability of any website, mobile application, telephone network, computer system, computer online system, computer timing and/or dating mechanism, computer equipment, software, or Internet service provider, or mail service utilized by any of the Promotion Parties or by you, (viii) interruption or inability to access an app or other platform, relating to the Sweepstakes, or to submit any entries, or to receive a prize, (ix) any lost/delayed data, voice, or video transmissions, omissions, interruptions, defects, and/or any other errors or malfunctions, (x) any late, lost, stolen, mutilated, misdirected, illegible, delayed, garbled, corrupted, destroyed, incomplete, undeliverable or damaged entries, (xi) any wrongful, negligent, or unauthorized act or omission on the part of any of the Promotion Parties or of any other third party, (xii) lost, late, stolen, misdirected, damaged or destroyed prizes (or any element thereof), or (xiii) the negligence or willful misconduct by you or of any third party.

LA POST SUBSCRIPTION: By purchasing any product or service from Sponsor’s LA Post Sweepstakes webform, or by clicking the “Submit” button on Step 2 of the LA Post Sweepstakes webform, you are consenting to the renewal terms, the Terms of Use, Terms of Sale, and the Privacy Policy of LA Post. As part of this agreement, you authorize LA Post to automatically charge your payment source the amount disclosed to you at sign up in advance of each month of your subscription until you cancel. You must cancel to avoid future charges. No refunds for partial months are permitted. You can cancel anytime by logging into your account at www.lapost.com or emailing [email protected]. Charges will appear on credit card statements as LAPost.com. While you are a subscriber of LA Post, you can earn 20 entries for the initial entry (and more if a multiplier period applies as described in Section 4) for each Sweepstakes you enter. After entering, subscribers automatically receive 20 bonus entries each month for the remaining months of the Sweepstakes. As a subscriber, you must enter each future Sweepstakes separately by clicking the link to enter and following the onscreen instructions in the email sent to you prior to the start of each future Sweepstakes. 14. ARBITRATION: PLEASE READ THE FOLLOWING SECTION CAREFULLY BECAUSE IT MAY REQUIRE YOU TO ARBITRATE CERTAIN DISPUTES AND CLAIMS WITH SPONSOR AND LIMITS THE MANNER IN WHICH YOU CAN SEEK RELIEF FROM SPONSOR:

You agree to try to resolve any disputes informally by contacting [email protected]. Sponsor will try to resolve the dispute informally by contacting you via email. If a dispute is not resolved within thirty (30) days of submission, you or Sponsor may bring a formal proceeding, as set forth below.

Any dispute or claim arising out of or relating to this Sweepstakes, including but not limited to the drawing of any prize, and the interpretation, enforceability, or breach of these Official Rules, and the issues of the arbitrability of any and all disputes shall be resolved individually, without resort to any form of class action, and exclusively through confidential arbitration. Arbitration shall be initiated through the American Arbitration Association (“AAA”). If AAA is not available to arbitrate, the parties shall agree to select another alternative dispute resolution provider. The AAA Consumer Arbitration Rules shall govern all aspects of the arbitration, including but not limited to the method and/or demanding arbitration, except to the extent such rules are in conflict with these Official Rules. The AAA Consumer Arbitration Rules are available online at www.adr.org or by calling the AAA at 1-800-778-7879. This Sweepstakes shall be governed by, and construed in accordance with, the internal laws of the State of California, without regard to conflict of law principles.

By entering into the Sweepstakes, you agree to finally settle all disputes only through arbitration; provided, however, the Sponsor shall be entitled to seek injunctive or equitable relief in the state and federal courts in Los Angeles County, California and any other court with jurisdiction over the parties. In arbitration, there is no judge or jury, and review is limited. The arbitration shall take place in Los Angeles, California, and shall be conducted by a single arbitrator selected by mutual agreement of the parties or, if the parties cannot agree, by AAA. In the event AAA is unwilling or unable to administer the arbitration and the parties cannot agree on a replacement, a court with jurisdiction shall select the arbitration organization or arbitrator. The arbitrator's decision shall be final and binding on all parties involved, with limited exceptions, and judgment on the award may be entered in any court with jurisdiction. The arbitration shall be conducted in the English language.

The Federal Arbitration Act shall govern the interpretation, enforcement and all proceedings at such arbitration and judgment upon such arbitration award may be entered in any court having jurisdiction. All entrants agree to abide by the terms of these Official Rules and the decisions of the Sponsor, which are final, and waive any right to claim ambiguity in these Official Rules. In the event any party challenges a term or provision of these Official Rules, the party hereby expressly waives any and all opportunities to recover any amount from the Promotion Parties relating to this Sweepstakes or otherwise. Each entrant agrees to service of process by mail or other method acceptable under the laws of the State of California. ANY CLAIMS, JUDGMENTS AND/OR AWARDS SHALL BE LIMITED TO ACTUAL OUT-OF-POCKET COSTS ASSOCIATED WITH PARTICIPATING IN THE SWEEPSTAKES, IF ANY. EACH ENTRANT HEREBY WAIVES ANY RIGHTS OR CLAIMS TO ATTORNEY'S FEES, INDIRECT, SPECIAL, PUNITIVE, INCIDENTAL OR CONSEQUENTIAL DAMAGES OF THE ENTRANT, WHETHER FORESEEABLE OR NOT AND WHETHER BASED ON NEGLIGENCE OR OTHERWISE. IN NO EVENT WILL SPONSOR OR ANY OF THE PROMOTION PARTIES BE LIABLE TO ANY PERSON OR ENTITY FOR ANY DIRECT, SPECIAL INCIDENTAL, EXEMPLARY, PUNITIVE OR CONSEQUENTIAL DAMAGES (INCLUDING LOSS OF USE, DATA, BUSINESS OR PROFITS) ARISNG OUT OF OR IN CONNECTION WITH ANY PERSON OR ENTITY’S PARTICIPATION IN THE SWEEPSTAKES OR THE AWARD OR USE OR INABILITY TO USE A PRIZE, OR ANY ACTS OR ACTIVITIES ASSOCIATED WITH ANY ASPECT OF A PRIZE, WHETHER SUCH LIABILITY ARISES FROM ANY CLAIM BASED UPON CONTRACT, WARRANTY, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY OR OTHERWISE, AND WHETHER OR NOT ANY PROMOTION PARTIES HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH LOSS OR DAMAGE. Some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages, so the above limitation or exclusion may not apply to you. The Promotion Parties disclaim any liability from and in connection with the Sweepstakes, any prize, or any component thereof.

OPT-OUT: YOU CAN DECLINE THIS AGREEMENT TO ARBITRATE BY SENDING A LETTER TO SPONSOR THAT MUST BE POSTMARKED WITHIN THIRTY (30) DAYS OF THE CLOSE OF YOUR FIRST ENTRY INTO A SWEEPSTAKES. THE LETTER MUST SPECIFY YOUR FIRST AND LAST NAMES, EMAIL, MAILING ADDRESS, AND EXPLAIN THAT YOU ARE OPTING OUT OF THE SWEEPSTAKES RULES’ ARBITRATION PROVISION. 15. CLASS ACTION WAIVER: BY ENTERING THIS SWEEPSTAKES, EACH ENTRANT AGREES THAT ANY DISPUTE OR CLAIM ARISING OUT OF OR RELATING TO THIS SWEEPSTAKES, INCLUDING THE INTERPRETATION, ENFORCEABILITY, OR BREACH OF THESE OFFICIAL RULES, SHALL BE RESOLVED INDIVIDUALLY, WITHOUT RESORT TO ANY FORM OF CLASS ACTION. THE ENTRANT FURTHER AGREES THAT ANY SUCH DISPUTE OR CLAIM SHALL BE BROUGHT IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. THE ENTRANT EXPRESSLY WAIVES ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION. IF ANY COURT OR ARBITRATOR DETERMINES THAT THE CLASS ACTION WAIVER PROVISION CONTAINED HEREIN IS UNENFORCEABLE OR VOID, THE ENTIRETY OF THIS CLAUSE SHALL BE NULL AND VOID AND THE DISPUTE OR CLAIM SHALL PROCEED IN COURT OR ARBITRATION AS IF THIS CLAUSE HAD NOT BEEN INCLUDED IN THESE OFFICIAL RULES. THIS CLASS ACTION WAIVER PROVISION SHALL SURVIVE THE TERMINATION OF THE SWEEPSTAKES AND REMAIN IN EFFECT FOR ANY FUTURE DISPUTES OR CLAIMS ARISING OUT OF OR RELATING TO THIS SWEEPSTAKES.

16. PRIVACY: Information collected and submitted with an entry is subject to and will be used in accordance with the Privacy Policy stated on the lapost.com website. 17. WINNERS LIST: For the name of the prize winner, available after July 10, 2024, visit our winner’s list posted here. Winner’s list requests must be received within thirty (30) days from the announcement of the winner.

18. GENERAL CONDITIONS: By entering, entrants accept and agree to the Official Rules and the decisions of Sponsor, which are final and binding in all respects. All entrants must abide by applicable laws and regulations, and any requirements or restrictions imposed on entrants. Any activities intended to disrupt or interfere with the proper play of the Sweepstakes or defraud Sponsor in any way will be disqualified and prosecuted to the fullest extent of the law. The Sweepstakes is subject to all applicable laws and regulations of the United States.

19. CONTACTS: You consent to Sponsor contacting you via your phone number, email, and via mail concerning the Sweepstakes, including notifying you if you are a winner of a prize and/or in order to promote the Sweepstakes. You warrant, represent, and agree that you have the right to provide your phone and email and address to Sponsor in connection with any entries and the Sweepstakes, and to have Sponsor contact you at such phone number nd email and address, even if such phone number or email is provided by an employer, and even if it is listed in a federal or state do not call database, and including by automatic telephone dialing equipment. You expressly consent to Sponsor and each of their partners and affiliates’ use of your contact information, including your phone number or email, for marketing and other promotional purposes. If at any time you do not wish to receive marketing communications, you may opt out from receiving these communications at any time by simply replying REMOVE or UNSUBCRIBE to any email message or following the provided opt-out instructions on the message or by sending an email [email protected] requesting removal or stating “unsubscribe.” Sponsor shall have ten (10) days to implement such requests as they relate to email, in accordance with United States federal law.

20. SEVERABILITY: You agree that these Official Rules are severable. If any term or provision is declared invalid or unenforceable, in whole or in part, that term or provision will not affect the remainder of these Official Rules. These Official Rules will be deemed amended to the extent necessary to make these Official Rules enforceable, valid and, to the maximum extent possible, consistent with applicable law and consistent with the original intention of the parties; and the remaining terms and provisions will remain in full force and effect. If any provision of these Official Rules is found by a court of competent jurisdiction to be invalid, Sponsor will amend or replace such provision with one that is valid and enforceable and which achieves, to the extent possible, the original objectives and intent of Sponsor as reflected in the original provision. The invalidity or unenforceability of any provision of these Official Rules does not affect the validity or enforceability of any other provision of these Official Rules, which will remain in full force and effect.

21. NO WAIVER: If Sponsor fails to insist that entrant perform any of entrant’s obligations under these Official Rules, or if Sponsor does not enforce its rights against an entrant, or if Sponsor delays in doing so, that will not mean that Sponsor has waived its rights against an entrant and will not mean that an entrant does not have to comply with these obligations. If Sponsor does waive a default by an entrant, Sponsor will only do so in writing, and that will not mean that Sponsor will automatically waive any later default by an entrant.

22. ENTIRE AGREEMENT: These Official Rules constitute the entire agreement between Sponsor and participants with respect to the Sweepstakes and supersede all prior or contemporaneous communications, whether electronic, oral or written, between Sponsor and participants with respect to the Sweepstakes.

23. AMERICANS WITH DISABILITIES ACT (ADA) COMPLIANCE: Sponsor is committed to ensuring that the Sweepstakes is accessible to individuals with disabilities in accordance with the Americans with Disabilities Act (ADA). Reasonable accommodations will be provided to enable individuals with disabilities to participate in the Sweepstakes.
